ROMANIAN ASSOCIATION FOR HEALTH PROMOTION
The Romanian Association for Health Promotion is a non-governmental, independent, non-political and non-profit association, established and operating in accordance with the legislation in force.
Name and registered office of the Association
The name of the Association is ROMANIAN ASSOCIATION FOR HEALTH PROMOTION.
The registered office of the Association is located in Bucharest, 142 Gheorghe Țițeica Street, District 2.
The registered office may be changed upon proposal of the Board of Directors. The Association may establish branches and subsidiaries, as well as commercial companies, with the approval of the General Assembly, and may carry out economic activities.
Purpose, mission, vision, objectives and activities of the Association
Purpose of the Association
The purpose of the Association is to contribute to improving the quality of life of the population and to the development of a healthy and sustainable society through research, communication, training, innovation, the provision of medical, social, educational, cultural, sports, environmental protection and professional integration support services, as well as through the development of public policies that promote individual and collective well-being.
Mission of the Association
The mission of the Association is to promote the development of a healthy and sustainable society by providing quality medical and social services accessible to all, implementing educational and cultural programmes, supporting research and innovation, and developing public policies and initiatives that respond to the diverse needs of communities.
Vision of the Association
The vision of the Association is to become a catalyst for positive change and social progress, contributing to the development of a society in which every individual has equal access to health, education, culture, the labour market and opportunities for personal and professional development.
Objectives of the Association
The objectives established in order to achieve the purpose of the Association concern the following areas:
a) In the field of health: improving the health status of the population, promoting a healthy lifestyle, increasing access to quality medical services, prevention, early diagnosis, treatment, screening, patient support programmes, training for professionals and evidence-based public policies.
b) In the field of social protection and social services: developing social services through their establishment, licensing, accreditation, provision and financing, as well as supporting vulnerable, disadvantaged or underprivileged persons.
c) In the field of education: developing learning opportunities, promoting inclusive and quality education, reducing inequalities and supporting the principles of interculturality, non-segregation and non-discrimination.
d) In the field of the labour market, employment and vocational training: developing integrated information, counselling, mediation, vocational training and skills certification services, for the socio-professional integration of different categories of population.
e) In the field of services and economic activities: developing sustainable economic activities, research, consultancy, training, software development, publication editing and innovative solutions, in support of the Association’s mission.
f) In the field of cooperation, partnerships and diaspora communities: promoting networks, partnerships, transparent communication and initiatives dedicated to the integration, representation and development of diaspora communities.
g) In the field of public policies: formulating, evaluating and optimising public policies, promoting transparency, good governance, human rights, combating discrimination, social inclusion and strengthening civil society.
h) In the field of culture and arts: promoting access to culture, preserving cultural heritage, developing artistic creativity, intercultural dialogue and cultural education.
i) In the field of sports: promoting a healthy and active lifestyle by supporting sports and recreational activities and initiatives that contribute to physical, mental and social well-being.
j) In the field of research and innovation: promoting research, development and innovation, supporting innovative solutions and their application in areas relevant to improving quality of life.
k) In the field of religious denominations: promoting interfaith dialogue, respect for religious diversity and cooperation between religious denominations.
l) In the field of ethics, integrity, transparency and critical thinking: developing critical thinking, promoting transparency, ethics, responsibility and integrity.
m) In the field of environmental protection: promoting sustainable development, the circular economy, biodiversity protection, combating climate change and environmental education.
n) In the field of emergency management and humanitarian assistance: increasing community resilience and response capacity in emergency situations, natural disasters, humanitarian crises and armed conflicts.
Activities of the Association
The Association carries out activities in accordance with its purpose, mission and established objectives, particularly in the fields of social affairs, medicine, public health, education, migration, social protection, social services, environment, human rights, employment, labour market, technology and innovation, culture, sports, research, good governance, transparency and humanitarian assistance.
The activities may target both the general population and vulnerable populations, professional groups, disadvantaged communities, people from urban or rural areas, children, young people, elderly people, persons with disabilities, migrants, refugees, minorities, persons with limited access to medical or social services and other relevant categories.
Specifically, the Association may carry out activities such as:
a) In the field of health: prevention and health education campaigns, general and specialised medical services, screening programmes, patient support, palliative care, mental health, telemedicine, continuing medical education, medical research and public health policies.
b) In the field of social protection and social services: social services, counselling, support for vulnerable persons, social centres, day centres, residential centres, integrated community centres, care services, inclusion programmes and interventions for children, young people, elderly persons, migrants, refugees, Roma and other vulnerable categories.
c) In the field of education: educational projects, training, instruction, counselling, personal development, inclusive education, digital education, vocational training and support for access to education.
d) In the field of the labour market, employment and vocational training: information, counselling, mediation, vocational training, professional certification and public policies in the field of employment.
e) In the field of services and economic activities: consultancy, social research, market research, communication, training, software development, applications, databases, websites, platforms, publication editing and community mobilisation.
f) In the field of cooperation, partnerships and diaspora communities: creating networks, alliances, coalitions and working groups, cooperating with national and international institutions and organisations, organising debates, conferences, events and projects for the diaspora.
g) In the field of public policies: studies, research, analyses, evaluations, reports, recommendations, monitoring public policies and programmes dedicated to social inclusion.
h) In the field of culture and arts: cultural events, cultural education programmes, support for creators, heritage preservation, intercultural dialogue, community cultural centres and cultural publications.
i) In the field of sports: sports and recreational events, sports training programmes, sports infrastructure, prevention and recovery activities through sports, camps, trips and sport-for-all programmes.
j) In the field of research and innovation: research projects, studies, innovative solutions, scientific partnerships, conferences, publications, grants, scholarships, digital solutions, applications, platforms and interdisciplinary networks.
k) In the field of religious denominations: interfaith events, conferences, debates and educational programmes that promote tolerance and dialogue.
l) In the field of ethics, integrity, transparency and critical thinking: workshops, courses, campaigns and projects on critical thinking, combating misinformation, ethics, transparency, integrity and social responsibility.
m) In the field of environmental protection: environmental campaigns, recycling programmes, reforestation, environmental monitoring, promotion of renewable energy, green infrastructure, environmental education and sustainable mobility.
n) In the field of emergency management and humanitarian assistance: preparedness and response mechanisms for emergency situations, humanitarian assistance, medical, psychosocial and material support, training, information campaigns, reconstruction and post-disaster reintegration.
Duration
The Romanian Association for Health Promotion is established for an indefinite period of time.
Assets of the Association
The assets of the Association are established in accordance with the Statute and the legislation in force and are used for achieving the purpose and objectives of the Association.
Membership of the Association
The Association may have associate members, members and honorary members.
They may be professionals and specialists in various fields relevant to the activity of the Association, involved in promoting and developing the organisation’s initiatives.
For the fulfilment of its purpose and objectives, the Association may use the services of its members, of other persons on a voluntary basis, or may employ paid staff.
Rights and obligations of members
The members of the Association have the rights and obligations provided by the Statute, depending on the category of membership.
They may participate in the activities of the Association, express opinions, represent the Association under the conditions of delegation by the Board of Directors and contribute to achieving the purpose and objectives of the organisation.
Members have the obligation to comply with the Statute, to be involved in the activities of the Association and to act in such a way as not to prejudice the interests or image of the Association.
Acquisition and loss of membership. Sanctions
Membership is acquired under the conditions of the Statute, upon proposal of the Board of Directors and with the approval of the General Assembly.
Loss of membership may occur through withdrawal or exclusion.
For failure to fulfil statutory obligations, sanctions may be applied, such as written warning, suspension or permanent exclusion, under the conditions of the Statute.
Income of the Association
The resources of the Association may come from interest and dividends, income from direct economic activities, donations, sponsorships, legacies, resources from the state budget or local budgets, membership fees, grants, non-reimbursable funds and other income provided by law.
Bodies of the Association
The bodies of the Romanian Association for Health Promotion are:
the General Assembly;
the Board of Directors.
General Assembly
The General Assembly is the governing body composed of all members of the Association.
The General Assembly establishes the strategy and general objectives of the Association, approves the income and expenditure budget, sets membership fees, elects and revokes the President of the Association and the members of the Board of Directors, approves the granting and revocation of membership, the establishment of branches and subsidiaries, the amendment of the Statute, the dissolution and liquidation of the Association and exercises other powers provided by law.
The General Assembly meets at least once a year and is convened under the conditions of the Statute. Decisions are adopted according to the quorum and voting rules provided in the Statute, including by correspondence, where applicable.
Board of Directors
The Board of Directors ensures the implementation of the decisions of the General Assembly and the effective management of the Association’s activity.
The Board of Directors implements the Association’s programmes, proposes the annual budget, is responsible for spending funds in accordance with the approved budget, submits reports to the General Assembly, concludes legal acts on behalf of the Association, approves the organisational chart and staff policy, may empower persons with executive functions, may delegate representatives and fulfils the duties established by the General Assembly.
The Board of Directors is formed and operates in accordance with the Statute.
Financial control
The internal financial control of the Association is ensured by a person responsible and designated for this purpose.
The person responsible for financial control verifies the way in which the Association’s assets are administered, prepares reports and presents them to the General Assembly, and may attend the meetings of the General Assembly and the Board of Directors without voting rights.
Dissolution and liquidation of the Association
The Association may be dissolved by operation of law, by court decision or by decision of the General Assembly, under the conditions of the Statute and the law.
In the event of dissolution, the assets remaining after liquidation may not be transferred to natural persons. The destination of the assets shall be established in accordance with the Statute and the applicable legislation.
Final provisions
The provisions of the Statute are mandatory for all persons active within the Association.
The Statute is supplemented by the applicable legal provisions and by the decisions of the governing bodies adopted under the conditions of the law and of the Statute.
